1. LEGAL AGREEMENT AND ACCEPTANCE OF TERMS

You represent and warrant that:

You are at least 18 years of age
You have the legal capacity and authority to enter into binding contracts
You are using the Services voluntarily and for lawful business purposes only
You are not prohibited by law, regulation, or contract from using the Services
You have the authority to bind your business or organization to these Terms
All information you provide is accurate, current, and complete

MineledgerAI is not intended for use by minors. We do not knowingly collect data from individuals under 18.

4. NATURE OF SERVICES - PREDICTIVE ANALYTICS AND AI DASHBOARDS

4.3 No Guarantee of Business Outcomes

We make no representations, warranties, or guarantees that:

Using our Services will result in increased revenue, profit, or business success

Business decisions based on our dashboards will yield positive results
You will achieve any specific business goals or objectives

5. ARTIFICIAL INTELLIGENCE (AI) CONTENT AND PREDICTIONS DISCLAIMER

MineledgerAI uses artificial intelligence, machine learning models, statistical algorithms, and automated systems to generate predictions, forecasts, insights, and analytics.

You acknowledge and agree that:

7. USER RESPONSIBILITY AND ASSUMPTION OF RISK

You are solely responsible for your business decisions, actions, and behavior
You bear all risks related to your business operations, financial performance, and outcomes
You will not hold MineLedger LLC responsible for business losses, missed opportunities, or negative outcomes
You will verify predictions and insights independently before making critical decisions
You will consult with qualified professionals (accountants, lawyers, advisors) when appropriate

MineLedger LLC shall not be responsible for:

Business losses, decreased revenue, or financial harm
Missed opportunities or incorrect business decisions
Inaccurate predictions or forecasts
Data errors, system failures, or service interruptions
Decisions made based on our Services
Third-party actions or market conditions
Regulatory compliance issues

8. DATA COLLECTION, USE, AND CROSS-PRODUCT UTILIZATION

9. PAYMENTS, SUBSCRIPTIONS, AND REFUNDS

MineledgerAI may offer paid services, subscriptions, or one-time fees for dashboard development and access.

All fees are non-refundable unless otherwise stated in writing
Subscriptions automatically renew unless canceled in writing at least 30 days before renewal
We reserve the right to change pricing with 30 days' notice
You are responsible for all applicable taxes
Payment disputes must be raised within 30 days of charge
We reserve the right to suspend or terminate Services for non-payment

Free Trial Period: If we offer a free trial period, Services may be terminated at any time during or after the trial period. Payment obligations begin after the trial period ends if you choose to continue.

10. INTELLECTUAL PROPERTY AND USER DATA

10.1 Our Intellectual Property

All Services, including but not limited to software, algorithms, AI models, dashboard designs, predictive analytics technology, trademarks, logos, and content, are the exclusive property of MineLedger LLC and protected by copyright, trademark, and other intellectual property laws.

10.2 Your Data and Content

You retain ownership of your business data and content. However, by using the Services, you grant MineLedger LLC a worldwide, royalty-free, non-exclusive, perpetual, irrevocable license to:

Use, process, store, analyze, and display your data for the operation and improvement of Services
Create aggregated, anonymized insights and analytics
Use data for AI model training and improvement (where permitted by law)
Share anonymized insights across MineLedger products

You are solely responsible for ensuring you have the right to provide such data and that it does not violate any laws or third-party rights.

11. PROHIBITED CONDUCT

You agree not to:

Violate any laws, regulations, or third-party rights
Use Services for illegal, fraudulent, or harmful purposes
Attempt to reverse engineer, decompile, or extract our algorithms or AI models
Interfere with or disrupt Services, servers, or networks
Access Services through unauthorized means or automated systems
Share account credentials or allow unauthorized access
Use Services to compete with or harm MineLedger LLC
Submit false, misleading, or malicious data
Violate any applicable data protection or privacy laws

12. ACCOUNT TERMINATION

We reserve the right to suspend, restrict, or terminate your access to Services at any time, with or without notice, for any reason, including but not limited to:

Violation of these Terms
Non-payment or payment disputes
Fraudulent or illegal activity
Abuse or misuse of Services
At our sole discretion

Upon termination, your right to use Services immediately ceases. We are not obligated to provide refunds or retain your data after termination.

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MINELEDGER LLC SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

Loss of profits, revenue, or business opportunities
Loss of data or information
Business interruption or downtime
Cost of substitute services
Damages resulting from inaccurate predictions or forecasts
Damages resulting from business decisions made based on our Services
Third-party claims or liabilities
Any other damages or losses of any kind

Total liability, if any, shall not exceed the amount paid by you to MineLedger LLC in the preceding 12 months, or $100 USD if no payment was made, whichever is less.

This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless MineLedger LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, losses, damages, liabilities, costs, expenses (including reasonable attorneys' fees), and judgments arising from or relating to:

Your use or misuse of the Services
Your reliance on predictions, forecasts, or insights
Your violation of these Terms
Your violation of any laws or third-party rights
Your business decisions or actions
Your data or content
Any claims by third parties related to your use of Services

15. DISPUTE RESOLUTION AND GOVERNING LAW

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict-of-law principles.

15.2 Jurisdiction and Venue

Any legal action, suit, or proceeding arising out of or relating to these Terms or the Services shall be instituted exclusively in the federal or state courts located in Los Angeles County, California, United States. You consent to the personal jurisdiction of such courts and waive any objection to venue.

15.3 Class Action Waiver

You agree that any disputes will be resolved individually, without resort to any form of class action, collective action, or representative proceeding.

16. CHANGES TO TERMS

We reserve the right to modify, update, or change these Terms at any time, with or without notice. Material changes will be posted on this page with an updated "Last Updated" date.

Your continued use of the Services after any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Services immediately.

17. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MineLedger LLC regarding the Services and supersede all prior or contemporaneous agreements, understandings, or communications.
